1. Grant of License (Customer Rights)
The Licensor grants You a non-exclusive, royalty-free license to use the samples, loops, presets, MIDI files, and any other audio file included in this sample pack (hereinafter, the “Content”) in your musical, audiovisual, or content productions, subject to the restrictions in Section 2.
What You MAY do (Royalty-Free Right):
- Music Production: You may use the Content in songs, instrumental tracks, and other musical compositions.
- Distribution and Sale: You may distribute, sell, stream, publish, and monetize the musical compositions created using the Content, without the need to pay any additional royalties to the Licensor, regardless of the volume of sales or streams.
- Modification: You may edit, cut, manipulate, and modify the Content to adapt it to your productions.
- Audiovisual Use: You may use the Content in video projects, cinema, television, advertisements, podcasts, streaming platforms (Twitch, YouTube), games, and applications.
2. Usage Restrictions (Producer Protection)
What You MAY NOT do (Restrictions):
- Resale of Raw Content: You may not sell, resell, sublicense, rent, loan, or distribute the Content (the original audio files) separately or as part of any other sample pack, sound library, or similar product.
- *Exception: The Content must always be used as part of a new musical composition, song, or production that contains other significant musical elements, instrumentation, or arrangements.
- Use in Sound Libraries: You may not use the Content to create a sound library or sample pack product that directly competes with the Licensor.
- Use as Unmodified Primary Musical Content: You may not use loops or melodies without significant creative modification or overlay if the Content constitutes the primary part of a song without other musical elements.
- Unauthorized Free Distribution: You may not redistribute the Content for free or give it away, unless it is an integral part of a complete new musical composition.
3. Ownership and Liability
- Content Ownership: The Licensor retains full ownership and copyright of all raw audio files included in the Content. The License only transfers the right of use, not the ownership of the original material.
- Licensee Liability: You are solely responsible for any damage or loss resulting from the use of the Content. The Licensor is not liable for decisions made by You based on this License.
- Indemnity: You agree to indemnify and hold harmless the Licensor against any claim, lawsuit, loss, or damage (including legal fees) arising from the unauthorized use or breach of these terms.
4. Termination of the License
The License will be terminated immediately without prior notice if You breach any of the terms and conditions stipulated herein. Upon termination, You must destroy all copies of the Content not incorporated into finished musical compositions. Compositions that were created before the termination retain the License.
